All content on the Platform — including text, graphics, logos, images, data, software, and other materials — is the property of AllStreet Capital, LLC or its licensors and is protected by applicable intellectual property laws. You may not reproduce, distribute, modify, create derivative works of, publicly display, or exploit any content from the Platform without AllStreet's prior written consent.
AllStreet reserves the right to suspend or terminate your access to the Platform at any time, with or without notice, for any reason, including but not limited to violation of these Terms, fraudulent activity, or failure to maintain eligibility requirements. Termination does not relieve you of obligations incurred prior to such termination.
To the maximum extent permitted by applicable law, AllStreet Capital, LLC, its managers, members, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of, or inability to use, the Platform or any investments made through it.
AllStreet's total cumulative liability to you for any claim arising under these Terms shall not exceed the greater of (i) the total fees paid by you to AllStreet in the twelve months preceding the claim, or (ii) $100.
Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for consequential damages. In such jurisdictions, AllStreet's liability is limited to the fullest extent permitted by law.
Any dispute, controversy, or claim arising out of or relating to these Terms or your use of the Platform shall be resolved exclusively through binding arbitration administered by JAMS under its Streamlined Arbitration Rules and Procedures, conducted in San Francisco, California. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
You waive any right to participate in a class action lawsuit or class-wide arbitration. All claims must be brought in your individual capacity, not as a plaintiff or class member in any purported class or representative proceeding.
AllStreet reserves the right to modify these Terms at any time. Material changes will be communicated by updating the "Effective date" at the top of this page and, where appropriate, by email notification to registered users. Your continued use of the Platform following any modifications constitutes acceptance of the revised Terms.
These Terms and any disputes arising hereunder shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. For any matters not subject to arbitration, you consent to exclusive jurisdiction and venue in the state and federal courts located in San Francisco, California.
